Malaysia has a population size of approximately 32.7 million in 2020. According to World Bank Malaysia Economic Monitor (December 2020) report, Malaysia’s economy is projected to grow by 6.7% percent in 2021. It is thus not surprising that Singapore companies have been seeking to invest in Malaysia, either to use it as a manufacturing base or to capture the huge domestic market.

Depending on the nature of the business, all foreigners can incorporate a company in Malaysia with 100% equity interest. However industries such as oil and gas, tourism, education and agriculture require at least 50% Malaysian ownership. For advisory and consultancy business, foreigners need to invest at least RM500,000 in paid up capital. For import, export, restaurant and trading business, a minimum paid up capital of RM100,000 is required.

 

The above criteria may vary from time to time, depending on the directives and guidances issued by the Malaysian government.

In order to incorporate a Malaysian company successfully, you need to fulfil the basic requirements listed below:

 

  • Minimum one Shareholder

  • Minimum one Resident Director (We offer Nominee Director service, in case you do not have a local resident director)

  • A Resident Company Secretary who is  either a member of a prescribed professional body or is licensed by the SSM

  • Minimum paid up capital of RM1
